1. Contractual Relationship & Scope

Welcome to xsheetkit. These General Terms and Conditions ("Terms") govern the access, download, website usage, and application utilization of the offline spreadsheet processing tools and features provided under the brand name xsheetkit ("Service").

By accessing, creating an account, or otherwise using our Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are prohibited from using the Service.

xsheetkit provides tools for converting, cleaning, formatting, and manipulating spreadsheets. Some utilities are free, while others require subscription plans or credit consumption.

2. User Accounts & Third-Party Authentication

To access advanced features, purchase credits, or manage billing, you may need to register an account.

Registration and login are handled through supported third-party identity and authentication providers (such as Google, Apple, Microsoft, or others). You agree that when you authenticate via a third-party service, your relationship with that provider is governed by their respective terms of service.

We retrieve basic profile data authorized by your consent screen (such as email, name, avatar URL, and user identifier) to identify you, establish your profile, and associate credit balances or active subscriptions.

You are responsible for maintaining the confidentiality of your account access and must immediately notify support@xsheetkit.com of any unauthorized activity.

3. Local client-side Processing & Data Ownership

Complete Offline Architecture: All calculations, formatting, parsing, and spreadsheet modifications are executed locally inside your web browser (client-side processing).

Your uploaded Excel, CSV, or JSON spreadsheet content is never sent to, processed by, or stored on our servers, nor is it transmitted to any external parties. You remain the sole Data Controller of the information inside your spreadsheets. We do not act as a Data Processor for spreadsheet contents, as we do not access or store them.

Since all calculations run locally in temporary browser memory, you are solely responsible for maintaining backup copies of your files before executing any utility.

4. Billing, Payments & Subscriptions

Subscriptions, memberships, and credit packages are processed via secure third-party payment gateways.

Subscriptions renew automatically at the end of each billing cycle unless cancelled by you via your user profile settings or by contacting support@xsheetkit.com.

Refunds are evaluated case-by-case at our sole discretion. Any billing discrepancies or technical errors should be reported directly to our support team.

5. Intellectual Property & Usage Restrictions

All design elements, trademarks, logos, system UI, and client-side processing scripts belong exclusively to xsheetkit and are protected by international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access the tools for personal or internal business operations.

You are strictly prohibited from reverse-engineering, decompiling, scraping, or copying the proprietary local processing scripts, or using the Service for unlawful activities.

6. Disclaimer of Warranties & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or error-free outputs.

You acknowledge that offline calculation outputs may occasionally contain discrepancies due to browser environments, file versions, or formulas. You are responsible for inspecting and verifying all outputs before relying on them for financial, commercial, or business-critical decisions.

To the maximum extent permitted by law, xsheetkit, its developers, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits, data loss, file corruption, or system disruptions arising from the use of the Service.

7. Modifications & Termination

We reserve the right to modify these Terms at any time. Modified terms take effect immediately upon being posted with an updated "Last Updated" date.

We reserve the right to suspend or terminate your account or restrict access to the Service for any violation of these Terms or for operational maintenance, without liability.

8. Governing Law, Jurisdiction & Severability

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the operator is established, without regard to conflicts of law principles. Any dispute shall be resolved in the competent courts of that jurisdiction.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
